Uraian Informasi atau Fakta Material PT. Soho Industri Pharmasi (SIP) yang merupakan
Perusahaan Terkendali dari Perseroan, melakukan
penyesuaian atas Pasal 3 Anggaran Dasar terkait Maksud dan
Tujuan serta Kegiatan Usaha SIP (Penyesuaian Anggaran
Dasar SIP), dengan menambahkan nomor kode klasifikasi
bidang usaha dengan nomor Klasifikasi Baku Lapangan
Usaha Indonesia (KBLI) sebagai berikut: 46443 (Perdagangan
Besar Kosmetik Untuk Manusia)
Penyesuaian Anggaran Dasar SIP melalui penambahan kode
klasifikasi bidang usaha tersebut dilakukan oleh SIP semata-
mata untuk mematuhi ketentuan peraturan terbaru, yakni
Peraturan Badan Pengawas Obat dan Makanan Nomor 12
Tahun 2023 tentang Pengawasan Pembuatan dan Peredaran
Kosmetik. Dengan penyesuaian ini, SIP selaku Perusahaan
Terkendali dapat terus melaksanakan proses importasi dan
kegiatan bisnisnya sebagaimana biasanya untuk produk-
produk yang termasuk dalam kategori kosmetik impor.
Dampak kejadian, informasi atau fakta Tidak ada dampak atas Penyesuaian Anggaran Dasar SIP
material tersebut terhadap kegiatan tersebut terhadap kegiatan operasional, hukum, kondisi
operasional, hukum, kondisi keuangan, keuangan, atau kelangsungan usaha Perseroan

1. Penyesuaian Anggaran Dasar SIP ini tidak termasuk dalam definisi dan kriteria Perubahan Kegiatan Usaha
sebagaimana diatur di dalam Penjelasan Pasal 22 Peraturan Otoritas Jasa Keuangan Nomor 17/POJK.04/2020 tentang
Transaksi Material dan Perubahan Kegiatan Usaha (POJK 17/2020), sehingga dengan demikian SIP dan Perseroan
tidak diwajibkan untuk melakukan prosedur sebagaimana diatur di dalam POJK 17/2020 tersebut. 2. Perseroan
melakukan keterbukaan informasi pada hari ini, Senin 12 Agustus 2024 berdasarkan tanggal penerimaan dan perolehan

informasi dari Kantor Notaris Jimmy Tanal S.H., M.Kn pada hari Jumat, 9 Agustus 2024 bahwa Surat Keputusan Menteri
Hukum dan Hak Asasi Manusia atas Persetujuan Perubahan Pasal 3 Anggaran Dasar PT. Soho Industri Pharmasi telah
diterbitkan

Description of Material Information or PT. Soho Industri Pharmasi (SIP), a Controlled Company of
Facts the Company, has made adjustments to Article 3 of the
Articles of Association regarding the Purpose and Objectives
and Business Activities (Adjustments to the Articles of
Association of SIP), by adding classification code numbers in
accordance with the Indonesia Standard Industrial
Classification (KBLI) as follows: 46443 (Wholesale Trade of
Cosmetics for Humans)
The Adjustments to the Articles of Association of SIP through
the addition of business classification codes was made by SIP
solely to comply with the provisions in the new regulation,
namely the latest regulations, specifically the Regulation of the
Food and Drug Supervisory Agency Number 12 of 2023
concerning the Supervision of the Manufacturing and
Distribution of Cosmetics. With this adjustment, SIP, as a
Controlled Company, can continue its import processes and
business activities as usual for products that fall under the
imported cosmetics category

Business Activities as stipulated in the Elucidation of Article 22 of the Financial Services Authority Regulation
Number 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities (POJK 17/2020).
Therefore, SIP and Company are not required to follow the procedures as set forth in POJK 17/2020. 2. The
Company is disclosing this information today, Monday, August 12, 2024, based on the date of receipt and
acquisition of information from the Office of Notary Jimmy Tanal S.H., M.Kn on Friday, August 9, 2024, confirming
that the Decree of the Minister of Law and Human Rights approving the Amendment to Article 3 of the Articles of
