                Perseroan memahami bahwa pemberitaan dimaksud bersumber dari pernyataan yang
                disampaikan oleh Danantara Indonesia mengenai agenda konsolidasi BUMN Karya, termasuk
                rencana penggabungan usaha antara PT PP (Persero) Tbk dan PT Adhi Karya (Persero) Tbk.

                Sampai dengan tanggal surat ini, rencana penggabungan usaha tersebut masih berada pada
                tahap kajian dan evaluasi. Pada saat yang sama, Perseroan sedang berfokus pada penyelesaian
                proses restrukturisasi serta penguatan fundamental keuangan dan operasional. Setelah proses
                restrukturisasi diselesaikan, tahapan penggabungan usaha direncanakan akan dilanjutkan
                dengan mengacu pada hasil kajian, arahan Pemegang Saham, mekanisme persetujuan
                korporasi, dan ketentuan peraturan perundang-undangan yang berlaku.

                Sampai dengan saat ini, proses kajian dan uji tuntas masih berlangsung dan belum menghasilkan
                keputusan final mengenai bentuk atau skema penggabungan usaha serta penetapan entitas
                surviving. Hal-hal tersebut akan ditentukan oleh pihak-pihak yang berwenang dengan
                mempertimbangkan antara lain aspek keuangan, operasional, hukum, perpajakan, tata kelola,
                manajemen risiko, prospek usaha, serta kepentingan para pemegang saham dan pemangku
                kepentingan.

                Berdasarkan progres dan informasi yang tersedia saat ini, proses penggabungan usaha tersebut
                secara indikatif ditargetkan dapat diselesaikan pada akhir Desember 2026. Target waktu tersebut
                dapat mengalami penyesuaian dengan mempertimbangkan penyelesaian proses restrukturisasi,
                hasil kajian dan uji tuntas, pemenuhan persetujuan korporasi dan/atau regulator, serta kondisi
                lain yang relevan.

                Mengingat belum terdapat keputusan final mengenai bentuk dan skema konsolidasi, Perseroan
                belum dapat menyampaikan secara spesifik prospek usaha dan rencana bisnis pascakonsolidasi.
                Sampai dengan adanya keputusan lebih lanjut, Perseroan tetap menjalankan strategi dan
                rencana bisnis yang telah ditetapkan, dengan fokus pada penyelesaian program restrukturisasi,
                penguatan fundamental keuangan dan operasional, penguatan bisnis inti di bidang konstruksi,
                peningkatan kualitas kontrak dan pelaksanaan proyek, penguatan manajemen risiko, serta
                evaluasi dan penataan portofolio anak perusahaan agar selaras dengan strategi bisnis inti
                Perseroan.

                Dalam hal terdapat perkembangan atau keputusan yang telah memenuhi kriteria sebagai
                informasi atau fakta material, Perseroan akan menyampaikannya kepada Otoritas Jasa
                Keuangan, Bursa Efek Indonesia, dan masyarakat sesuai dengan ketentuan yang berlaku.

                The Company understands that the aforementioned news reports originated from statements
                made by Danantara Indonesia regarding the consolidation agenda of the State-Owned
                Enterprises (BUMN) in the construction sector, including the proposed merger between
                PT PP (Persero) Tbk and PT Adhi Karya (Persero) Tbk.

                As of the date of this letter, the proposed merger remains at the stage of study and evaluation.
                At the same time, the Company is currently focusing on completing its restructuring process and
                strengthening its financial and operational fundamentals. Upon completion of the restructuring
                process, the merger process is planned to proceed with reference to the results of the study,
                directions from the Shareholder, the applicable corporate approval mechanisms, and the
                prevailing laws and regulations.

                As of the date hereof, the study and due diligence process remains ongoing and has not resulted
                in any final decision regarding the form or structure of the merger or the determination of the
                surviving entity. These matters will be determined by the authorized parties, taking into
                consideration, among others, financial, operational, legal, tax, governance, risk management,
                and business prospects, as well as the interests of shareholders and stakeholders.

                Based on the progress and information currently available, the merger process is indicatively
                targeted for completion by the end of December 2026. This timeline may be subject to
                adjustment, taking into consideration the completion of the restructuring process, the results of
                the study and due diligence, the fulfillment of corporate and/or regulatory approvals, and other
                relevant circumstances.

                Given that there has been no final decision regarding the form and structure of the consolidation,
                the Company is not yet in a position to provide specific information regarding its business
                prospects and business plans following the consolidation. Pending further decisions, the
                Company will continue to implement its established strategies and business plans, with a focus
                on completing the restructuring program, strengthening its financial and operational
                fundamentals, strengthening its core construction business, improving the quality of contracts
                and project execution, strengthening risk management, and evaluating and realigning its
                subsidiaries' portfolios to ensure alignment with the Company's core business strategy.

                In the event that there are any developments or decisions that meet the criteria of material
                information or material facts, the Company will disclose such information to the Financial Services
                Authority (Otoritas Jasa Keuangan), the Indonesia Stock Exchange, and the public in accordance
                with the applicable laws and regulations.

           2. Informasi/ kejadian penting lainnya yang material dan dapat mempengaruhi kelangsungan hidup
              perusahaan serta dapat mempengaruhi harga saham perusahaan.

                Tanggapan :
                Perseroan telah melaksanakan Rapat Umum Pemegang Obligasi (“RUPO”) dan Rapat Umum
                Pemegang Sukuk (“RUPSu”) pada tanggal 1 dan 2 September 2026. Hasil pelaksanaan RUPO
                dan RUPSu tersebut telah disampaikan melalui sistem pelaporan elektronik Bursa Efek Indonesia
                masing-masing pada tanggal 2 dan 3 September 2026.

                Selain informasi yang telah disampaikan kepada publik tersebut, sampai dengan tanggal surat
                ini tidak terdapat informasi atau kejadian penting lainnya yang belum diungkapkan dan bersifat
                material terhadap kelangsungan usaha maupun harga Efek Perseroan.

                Perseroan senantiasa berkomitmen untuk memenuhi kewajiban keterbukaan informasi sesuai
                dengan ketentuan peraturan perundang-undangan di bidang pasar modal.

                Response:

                The Company has convened the General Meeting of Bondholders (“RUPO”) and the General Meeting
                of Sukukholders (“RUPSu”) on September 1 and 2, 2026, respectively. The results of the RUPO and
                RUPSu have been disclosed through the Indonesia Stock Exchange's electronic reporting system on
                September 2 and 3, 2026, respectively.

                In addition to the information that has been disclosed to the public, as of the date of this letter, there
                is no other significant information or event that has not been disclosed and that is material to the
                continuity of the Company's business or the price of the Company's Securities.

                The Company remains committed to fulfilling its information disclosure obligations in accordance with
                the applicable laws and regulations in the capital markets sector.
