2. Persetujuan pendelegasian kewenangan persetujuan perubahan/penyesuaian Rencana Jangka Panjang
Perusahaan (RJPP) tahun 2026–2030 dan Rencana Kerja dan Anggaran Perusahaan (RKAP) tahun 2026
kepada Dewan Komisaris Perseroan.
Bahan Materi:
• Mata acara ini dilaksanakan berdasarkan: (i) Pasal 64 UU PT, (ii) Pasal 17 ayat (3) dan (4) dan Pasal 18 ayat
(2) dan (3) Anggaran Dasar Perseroan, serta dengan memperhatikan ketentuan: (i) Pasal 41 ayat (1) POJK
15/2020 dan (ii) Pasal 26 Anggaran Dasar Perseroan.
• Rencana Jangka Panjang Perusahaan (“RJPP”) dan Rencana Kerja dan Anggaran Perusahaan (“RKAP”)
disampaikan kepada RUPS untuk mendapatkan persetujuan.
• Selanjutnya, berdasarkan ketentuan Pasal 17 ayat (4) dan Pasal 18 ayat (3) Anggaran Dasar Perseroan,
Perseroan akan mengusulkan kepada Rapat untuk menyetujui pendelegasian kewenangan persetujuan
perubahan/penyesuaian RJPP tahun 2026–2030 dan RKAP tahun 2026 Perseroan termasuk dengan
perubahannya kepada Dewan Komisaris dengan terlebih dahulu mendapatkan persetujuan Pemegang
Saham Mayoritas.

Article 26 of the Company’s Articles of Association.
• The Long-Term Corporate Plan (RJPP) and the Corporate Work Plan and Budget (RKAP) are submitted to
the General Meeting of Shareholders (GMS) for approval.
• Furthermore, pursuant to the provisions of Article 17 paragraph (4) and Article 18 paragraph (3) of the
Company’s Articles of Association, the Company will propose to the Meeting that it approve the delegation
of authority to the Board of Commissioners subject to prior approval from the Majority Shareholder to
approve amendments to or adjustments of the Company’s Long-Term Corporate Plan (RJPP) for 2026–
2030 and Work Plan and Budget (RKAP) for 2026, including any amendments thereto.
