Uraian Informasi atau Fakta Material Dalam rangka memenuhi ketentuan Peraturan Otoritas Jasa
Keuangan (OJK) No. 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha (POJK 17/2020) dan
Peraturan OJK No. 42/POJK.04/2020 tentang Transaksi
Afiliasi dan Transaksi Benturan Kepentingan (POJK 42/2020),
dengan ini disampaikan bahwa American Anthracite SPV I,
LLC (AAS), selaku salah satu entitas terkendali PT Delta
Dunia Makmur Tbk (Perseroan), telah menyelesaikan:
1.pengambilalihan saham atas perusahan-perusahaan berikut
ini: (i) 100% saham Atlantic Carbon Group, Inc dan anak-anak
perusahaannya; (ii) 100% saham Wildcat Carbon Processing
LLC; (iii) 100% saham American Carbon Warehousing LLC;
(iv) 100% saham Newcastle Anthracite Company; dan (v)
100% saham The Central Pennsylvania Anthracite Company
LLC, dalam sebuah transaksi antara AAS sebagai pihak
pembeli, dan ACG Holdings, Inc. sebagai Penjual, pada
tanggal 28 Juni 2024 (Pengambilalihan); dan
2. penandatanganan pinjaman antarperusahaan antara
AAS dan PT Bukit Makmur Mandiri Utama (BUMA) pada
tanggal 25 Juni 2024, yang keduanya merupakan perusahaan
terkendali Perseroan (Pinjaman Antarperusahaan).
Untuk informasi lebih lanjut perihal Transaksi Material dan
Transaksi Afiliasi Tanpa Persetujuan RUPS, mohon merujuk
kepada dokumen-dokumen terlampir.
