BOARD OF COMMISSIONERS AND BOARD OF DIRECTORS' STATEMENT

Guna memenuhi ketentuan Peraturan Otoritas Jasa Keuangan (“OJK”) No. 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha (“POJK 17/2020”) dan Peraturan OJK No. 42/POJK.04/2020 tentang
Transaksi Afiliasi dan Transaksi Benturan Kepentingan (“POJK 42/2020”), dengan ini disampaikan bahwa
American Anthracite SPV I, LLC (“AAS”), selaku salah satu entitas terkendali PT Delta Dunia Makmur Tbk
(“Perseroan”), telah menyelesaikan:

In compliance with the provisions of Financial Services Authority (“OJK”) Regulation No. 17/POJK.04/2020
concerning Material Transactions and Changes in Business Activities (“POJK 17/2020”) and OJK Regulation No.
42/POJK.04/2020 concerning Affiliate Transactions and Conflict of Interest Transactions ("POJK 42/2020"), it is
hereby conveyed that American Anthracite SPV 1, LLC (“AAS”), as one of PT Delta Dunia Makmur Tbk (the
“Company”) controlled entities, has completed:

1. pengambilalihan saham atas perusahan-perusahaan berikut ini: (i) 10096 saham Atlantic Carbon Group, Inc
dan anak-anak perusahaannya, (ii) 10055 saham Wildcat Carbon Processing LLC, (iii) 10096 saham American
Carbon Warehousing LLC: (iv) 10096 saham Newcastle Anthracite Company: dan (v) 1004 saham The Central
Pennsylvania Anthracite Company LLC, dalam sebuah transaksi antara AAS sebagai pihak pembeli, dan ACG
Holdings, Inc. “Penjual”, pada tanggal 28 Juni 2024 (“Pengambilalihan”): dan
an acguisition of shares in the following companies: (i) 10096 shares of Atlantic Carbon Group, Inc and its
subsidiaries, (ii) 10036 shares of Wildcat Carbon Processing LLC: (iii) 10096 shares of American Carbon
Warehousing LLC: (iv) 10096 shares of Newcastle Anthracite Company, and (v) 100 shares of The Central
Pennsylvania Anthracite Company LLC, in a transaction between AAS as the purchaser, and ACG Holdings, Inc.
as the “Seller”, on 28 June 2024 (“Acguisition”): and

2. penandatanganan pinjaman antarperusahaan antara AAS dan PT Bukit Makmur Mandiri Utama (“BUMA”)
pada tanggal 25 Juni 2024, yang keduanya merupakan perusahaan terkendali Perseroan (“Pinjaman
Antarperusahaan”).
signing of intercompany loan between AAS and PT Bukit Makmur Mandiri Utama (“BUMA”) on 25 June 2024,
both of which are the Company's controlled companies ("Intercompany Loan").

Pengambilalihan dan Pinjaman Antarperusahaan secara bersama-sama disebut sebagai “Transaksi”.
Acguisition and Intercompany Loan are collectively referred to as “Transaction”.

Sehubungan dengan hal tersebut Dewan Komisaris dan Direksi Perseroan dengan ini menyatakan hal-hal sebagai
berikut :

In relation to the matters herein, the Board of Commissioners and Board of Directors of the Company hereby
declare the followings:

1) Keterbukaan Informasi yang disampaikan kepada OJK dan diumumkan kepada masyarakat pada tanggal 1
Juli 2024 ini telah lengkap dan sesuai dengan persyaratan yang tercantum dalam POJK 17/2020 dan POJK
42/2020.

The Disclosure of Information submitted to OJK and announced to the public on 1 July 2024 is complete and
in accordance with the reguirements under POJK 17/2020 and POJK 42/2020.
