Facts Whereas on May 31, 2024, the Company and its subsidiary,
namely PT Hoki Distribution Niaga ("HDN") signed a Rental
Agreement for the Ruko Peta Barat Building, Floor. 2
Number 018/BPS-DIR/V/24 made privately and with
sufficient stamp duty, HDN as the Lessee and the Company
as the Renting Party for 1 (one) unit of Office Space in the 2
(second) Floor Shophouse Building, located on Jalan West
Map Number 9A, Pegadungan Village, Kalideres District,
West Jakarta, DKI Jakarta with a rental period of 7 (seven)
months from 1 June 2024 to 31 December 2024.

20 April 2020 ("POJK 17/2020").
c. POJK No. 42/POJK.04/2020 concerning Affiliate
Transactions and Conflict of Interest Transactions, dated
2 July 2020 (“POJK 42/2020”).
Relationship between Transaction Parties
That there is an affiliate relationship between the Company
and HDN because the Company is the controlling
shareholder of HDN, which is 74.10% of HDN's issued and
paid-up capital. This transaction is an Affiliate Transaction
and is not a Conflict of Interest Transaction.
Transaction Value
The transaction value is IDR 58,100,000 (fifty eight million
one hundred thousand Rupiah), excluding 11% VAT. The
transaction value is lower than 20% (twenty percent) of the
Company's equity, so the transaction is not a material
transaction as regulated by POJK 17/2020.
Based on Article 6 paragraph (1) letter c POJK 42/2020, the
transaction is exempt from the obligations as intended in
Article 3, Article 4 paragraph (1) and Article 11 paragraph
(1) POJK 42/2020 because the transaction value does not
exceed 0.5 % (zero point five percent) of the paid-up capital
of a Public Company or not exceeding IDR 5,000,000,000.00
(five billion rupiah), the lower value is used.
4. Impact of events, Material The Company can maximize its assets while providing a
Information or Facts faster process for providing office space for HDN as a
subsidiary of the Company.
5. Other information That apart from the information we have disclosed above,
currently there are no other events, information or
material facts that we have not disclosed other than the
information mentioned above.
The Company's Directors are fully responsible for the
correctness of all information contained in this Information
Disclosure.
