Article 1. Background and Introduction

PT, Ratu Prabu Energi Tbk (ARTI) is a company engaged in investment
in the energy sector. The Company is supported by subsidiaries engaged
in oil and gas properties, contractor, 2003 were listed on the Indonesia
Stock Exchange (formerly the Jakarta Stock Exchange) with the ARTI
stock code.

Henan Suda Electric Vehicle Technology Co., Ltd. is an enterprise
integrating electric vehicle and parts development, process design,
manufacturing management, sales, etc., with an annual production
capacity of 100,000 sets of pure electric vehicles. Its flagship electric
vehicle has obtained European certification ,exported to Germany and
won the gold medal.

Chongging Big Technology Co., Ltd. is a strategic partner and associated
(shareholding) company of Suda EV Group, Mainly engaged in the
investment, construction and operation management of overseas chain car
assembly plant projects, have 7 existing and 4 upcoming overseas

factories in Asia, Africa, Latin America.

Article 2. Objective and Purpose

1. Party A hopes to seek strong and reliable strategic partners in China,
whom to plan for a electric bus and sedan assembly plant in IDN. Party A
hopes to have a new energy bus, new energy sedan for taxi etc.

2. The scale of the said EV Bus and Sedan planed 1000 units per type,
with the second step of building new factory with CKD line with the
capacity subject to the actual local market demand. Party CHN is capable
of providing the above vehicle model resources, technical resources,
eguipment resources, technical training, sharing the experience of
overseas automobile assembly plant, etc., three parties will jiontly invest
and build the said assembly plants, if both parties agree with certain terms

and conditions of jiont venture.

3. About the development plan and model of the automobile assembly
plant. All three parties have approved a step-by-step implementation, a
gradual improvement, and a gradual development model.

4. The policy environment for automotive projects. Chinese side needs to
have a clear national investment policy environment, such as tariffs,
financial policy support and other tax related information, so that Chinese

side can complete the relevant investment analysis of the project.

Article 3. Liability
The Parties shall not have any claim against each other arising from the

failure of any of them on implementing project before signing formal

&

cooperation agreement, or on any of the terms and conditions thereof
during the course of execution of this MOU.

This memorandum is only the intentional non-binding document signed
by the three parties on the intention of cooperation. It does not have legal
effect on the parties. If the three parties reach the final cooperation
intention, the final contract or agreement signed shall prevail.

Article 4. Authorized Signatory of Joint Venture

All parties agreed to assign authorize persons of Joint Venture as
signatory during the process of implementing the project.

The authorized signatory of implementing once project secured will be

discussed and agreed by the parties thereinafter.

Article 5. Termination of this Memorandum of Understanding

The MOU shall remain in force till the occurrence of the earliest to occur
of the following unless by mutual consent, the parties agree in writing to

extend the validity for a period.

The duration of this Memorandum of Understanding is considered to be

terminated as:

@ At the date of Joint Venture does not sign formal cooperation

agreement in I year after signature of this MOU.

@ Reason for force majeure.

Article 6. Confidentiality

The parties have agreed that any statement in this Memorandum of
Understanding will be confidential. It will not disclose to the public or
other persons perceive.

This Memorandum of Understanding is made up of three copies with
same text and content. The parties have read and understood the content
very well. The parties signed in front of the witnesses and keep one copy
of each party. This Memorandum of Understanding consists of three
copies, written in both Chinese and English, with the same text and
content, and the Chinese and English expressions have the same legal

effect.
