Sebagai bagian dari Unicharm Corporation, Perseroan mengikuti roadmap menuju 2050 Unicharm Corporation,
yang menetapkan target berbasis sains (SBTi) untuk tahun 2031, dan menargetkan penggunaan 100% listrik dari
sumber terbarukan untuk seluruh operasional bisnisnya pada tahun 2030.

Sebagai bentuk komitmen terhadap penerapan prinsip Tata Kelola Perusahaan yang Baik (Good Corporate
Governance/GCG), Perseroan menerapkan kebijakan pemisahan peran antara Presiden Komisaris
(Chairman of the Board) dan Presiden Direktur (Chief Executive Officer/CEO). Pemisahan ini dimaksudkan
untuk memastikan terwujudnya struktur pengambilan keputusan yang seimbang serta menghindari potensi
benturan kepentingan yang dapat timbul apabila kedua fungsi tersebut dijalankan oleh satu individu.
Presiden Komisaris menjalankan fungsi pengawasan dan memberikan nasihat kepada Direksi atas
pengelolaan perusahaan, sedangkan Presiden Direktur bertanggung jawab atas pelaksanaan kegiatan
operasional serta pengambilan keputusan strategis sehari-hari perusahaan. Penerapan pemisahan peran ini
juga sejalan dengan ketentuan yang peraturan perundang-undangan yang berlaku di Indonesia.
Lebih lanjut, pengangkatan dan pemberhentian anggota Dewan Komisaris dan Direksi sepenuhnya berada
di bawah kewenangan Rapat Umum Pemegang Saham (RUPS). Dengan demikian, RUPS berperan penting
dalam menjaga independensi dan akuntabilitas kedua organ tersebut, serta memastikan bahwa proses tata
kelola dijalankan sesuai dengan kepentingan seluruh pemegang saham.

memperkuat kompetensi individu dan meningkatkan kualitas penerapan tata kelola perusahaan. Ketentuan
pelatihan diatur dalam Piagam Dewan Komisaris dan Piagam Direksi, yang menekankan pentingnya
pengembangan kapasitas anggota organ tata kelola dalam merespons dinamika industri dan perubahan
regulasi.

Kriteria khusus yang digunakan untuk pemilihan anggota Dewan Komisaris dan Direksi Perseroan
dilaksanakan dengan mengacu pada ketentuan peraturan perundang-undangan yang berlaku di Indonesia,
a.l. Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas dan POJK yang mengatur
mengenai Direksi dan Dewan Komisaris Emiten atau Perusahaan Publik. Selain itu, proses pemilihan juga
didasarkan pada prinsip-prinsip Tata Kelola yang Baik dan kebijakan internal Perseroan sebagaimana diatur
dalam Piagam Direksi, Piagam Dewan Komisaris, serta Piagam Komite Nominasi dan Remunerasi.
Sesuai dengan regulasi, calon anggota Direksi dan Dewan Komisaris wajib memenuhi persyaratan formal,
antara lain memiliki integritas, kompetensi, dan reputasi keuangan yang baik, tidak pernah dinyatakan pailit,
tidak pernah menjadi anggota Direksi atau Dewan Komisaris yang dinyatakan bersalah menyebabkan
perusahaan mengalami kepailitan, serta tidak pernah dihukum karena tindak pidana yang merugikan
keuangan negara atau terkait sektor keuangan.
Kebijakan internal Perseroan memperkuat ketentuan tersebut dengan menerapkan kriteria tambahan yang
disesuaikan dengan kebutuhan strategis dan karakteristik usaha perusahaan. Calon anggota Direksi
diharapkan memiliki pengalaman dan pemahaman yang memadai terkait industri yang dijalankan
Perseroan, kemampuan manajerial, serta kompetensi dalam perencanaan dan pelaksanaan strategi bisnis.
Sementara itu, calon anggota Dewan Komisaris diharapkan memiliki keahlian yang relevan untuk
menjalankan fungsi pengawasan dan pemberian nasihat secara efektif kepada Direksi, serta menjunjung
tinggi independensi dan objektivitas.

resmi seperti situs web Perseroan, pengumuman keterbukaan informasi di OJK dan BEI, serta paparan
publik.
Perseroan juga memastikan bahwa setiap keputusan yang berdampak pada pemegang saham
memperhatikan prinsip kehati-hatian, keterbukaan, dan kepentingan seluruh pemegang saham. Corporate
Secretary dan Investor Relations bertugas sebagai penghubung antara manajemen dan pemegang saham,
memastikan informasi disampaikan secara akurat, setara, dan tepat waktu. Komitmen ini mencerminkan
upaya Perseroan untuk menciptakan tata kelola yang transparan, akuntabel, dan berfokus pada
perlindungan hak pemegang saham serta keberlanjutan hubungan dengan pemangku kepentingan.

Perseroan memiliki kebijakan tegas untuk mencegah terjadinya konflik kepentingan dalam pelaksanaan

Good Corporate Governance (GCG), khususnya pada aspek tanggung jawab dan integritas, guna

Pencegahan konflik kepentingan diatur dalam Piagam Direksi dan Piagam Dewan Komisaris, yang
mewajibkan setiap anggota untuk bertindak dengan itikad baik dan menghindari konflik kepentingan pribadi,
keluarga, atau afiliasi usaha. Komite Audit Perseroan juga berperan penting dalam mendukung pencegahan
konflik kepentingan dengan memberikan rekomendasi kepada Dewan Komisaris terkait potensi konflik.
Komite ini mengawasi secara independen proses pengambilan keputusan untuk memastikan keselarasan
dengan kepentingan pemegang saham dan pihak berkepentingan lainnya.
Perseroan juga mengadopsi prinsip tata kelola dari Unicharm Corporation Jepang, yang mewajibkan
persetujuan Dewan Direksi untuk transaksi yang berpotensi menimbulkan benturan kepentingan. PT
UniCharm Indonesia Tbk terus berupaya meningkatkan penerapan prinsip-prinsip ini untuk mendukung
kepatuhan terhadap peraturan Indonesia serta standar tata kelola global.

Steps that have been taken and emission reductions that have been achieved compared to the previous year
Throughout 2025, the company strengthened its decarbonization commitment by targeting a total energy
reduction of 32,442,917 kWh, equivalent to a reduction in emissions of 28,939 tons of CO2e. This achievement
was driven by a mix of clean energy strategies, including the use of Renewable Energy Certificates (RECs) of
9,058 MWh and the utilization of solar panels (PLTS) of 13,428 MWh, which collectively reduced emissions by
20,058 tons of CO2e. In addition, efficiency measures through energy conservation programs and the
implementation of zero gas chillers provided an additional contribution in reducing electricity consumption by
9,956 MWh, equivalent to a reduction in emissions of 8,881 tons of CO2e. This initiative reflects the company's
acceleration in integrating environmentally friendly technologies to achieve sustainability targets.

Commissioners found guilty of causing a company to go bankrupt, and having never been convicted of a
criminal offense that harms the state or is related to the financial sector.
The Company's internal policies reinforce these requirements by implementing additional criteria tailored to
the company's strategic needs and business characteristics. Prospective members of the Board of Directors
are expected to possess adequate experience and understanding of the Company's industry, managerial
skills, and competence in planning and implementing business strategies. Meanwhile, prospective members
of the Board of Commissioners are expected to have relevant expertise to carry out their supervisory and
advisory functions effectively to the Board of Directors, as well as uphold independence and objectivity.

The Company has also adopted the corporate governance principles of Unicharm Corporation of Japan,
