Sehubungan dengan adanya Transaksi Material dan Transaksi
Afiliasi
Uraian Informasi atau Fakta Material Perseroan telah melakukan transaksi ini pada tanggal 20
Desember 2024, melalui Perjanjian Pengikatan Jual Beli yang
masing-masing di tandatangani oleh Jaehyuk Choi, Direktur
Utama Perseroan selaku Penjual dan Victor Seng Hyeok Choi,
Presiden Direktur PT Urecel Indonesia selaku Pembeli.
Dengan rincian biaya sebagai berikut:
a.Jual beli atas Aset Tetap sebesar Rp105.000.000.000
(Seratus Lima Milyar Rupiah)
b.Pembayaran Tahap Pertama sebesar 5% (lima persen) dari
harga transaksi atau sebesar Rp5.250.000.000 (Lima Milyar
Dua Ratus Lima Puluh Juta Rupiah)
c. Pelunasan sebesar Rp99.750.000.000 (Sembilan
Puluh Sembilan Miliar Tujuh Ratus Lima Puluh Juta Rupiah).
Lokasi Properti Obyek Transaksi : Jalan Lingkungan Kp.
Bojong, Desa Bojong, Kecamatan Cikupa, Kabupaten
Tangerang, Provinsi Banten dimana terdiri dari Tanah,
Bangunan berupa Pabrik, dan Sarana Pelengkap dengan luas
tanah 47.651 meter persegi dan luas bangunan kurang lebih
23.307 meter persegi dengan penggunaan saat ini sebagai
Pabrik. Properti dinilai sebagai satu kesatuan.
Nilai Transaksi adalah sebesar Rp105.000.000.000
sedangkan jumlah ekuitas Perseroan berdasarkan laporan
keuangan Audited per 30 Juni 2024 adalah sebesar Rp234.
707.526.000 dengan demikian Transaksi tersebut merupakan
transaksi material sebagaimana dimaksud dalam Peraturan
Otoritas Jasa Keuangan No. 17/POJK.04/2020, karena nilai
transaksi lebih dari 20% ekuitas Perseroan.
Namun dibawah 50% dari ekuitas, sehingga tidak memerlukan
persetujuan Rapat Umum Pemegang Saham.

Dampak kejadian, informasi atau fakta Secara umum, manfaat dari dilakukannya Perseroan dapat
material tersebut terhadap kegiatan melakukan pembayaran utang kepada pihak ketiga dan
operasional, hukum, kondisi keuangan, mendapatkan tambahan modal kerja untuk mendukung
atau kelangsungan usaha Emiten atau operasional Perseroan.
Perusahaan Publik
Transaksi akan menurunkan rasio lancar perusahaan karena
hasil penjualan aset tetap menjadi aset tidak lancar dan
kenaikan utang pajak lebih besar dibandingkan penerimaan
kas setara kas dari penjualan aset tetap. Quick ratio
perusahaan mengalami kenaikan karena kenaikan liabilitas
atas utang pajak lebih besar dibandingkan penerimaan aset
lancar
Debt to equity ratio dan debt to assets Perseroan mengalami
penurunan karena ekuitas mengalami kenaikan akibat
keuntungan dari penjualan aset tetap.
Return on Asset dan Return on equity Perseroan mengalami
kenaikan karena mengalami kenaikan laba akibat keuntungan
dari penjualan aset tetap.
Secara kuantitatif Transaksi ini dapat memperbaiki rasio
likuiditas, aktivitas, dan solvabilitas Perseroan. Transaksi juga
memberikan manfaat efisiensi pada beban pokok penjualan
Perseroan.

Transaction
Description of Material Information or The Company has conducted this transaction on December
Facts 20, 2024, through a Sale and Purchase Agreement signed by
Jaehyuk Choi, President Director of the Company as the Seller
and Victor Seng Hyeok Choi, President Director of PT Urecel
Indonesia as the Buyer.
With the following cost details:
a. Sale and purchase of Fixed Assets amounting to
IDR105,000,000,000 (One Hundred and Five Billion Rupiah)
b. First Stage Payment of 5% (five percent) of the transaction
price or IDR5,250,000,000 (Five Billion Two Hundred and Fifty
Million Rupiah)
c. Settlement of IDR99,750,000,000 (Ninety-Nine Billion Seven
Hundred and Fifty Million Rupiah).
Property Location of Transaction Object: Jalan Lingkungan Kp.
Bojong, Bojong Village, Cikupa District, Tangerang Regency,
Banten Province which consists of Land, Buildings in the form
of Factories, and Complementary Facilities with a land area of
47,651 square meters and a building area of kurang lebih
23,307 square meters with current use as a Factory. The
property is valued as one unit.
The Transaction Value is IDR105,000,000,000 while the
Company's equity based on the Audited financial report as of
June 30, 2024 is IDR234,707,526,000, thus the Transaction is
a material transaction as referred to in the Financial Services
Authority Regulation No. 17/POJK.04/2020, because the
transaction value is more than 20% of the Company's equity.
However, below 50% of equity, so it does not require the
approval of the General Meeting of Shareholders.

from the sale of fixed assets.
Quantitatively, this transaction can improve the Company's
liquidity, activity, and solvency ratios. The transaction also
provides efficiency benefits to the Company's cost of goods
sold.
