Bank Mega, Tbk (the Company) with PT. Asuransi Umum Mega (AUM) signed a lease agreement for office space on the 18""floor of Menara Bank Mega Jakarta located in Jl. Kapten P. Tendean No. 12-14A, RT 002, RW 002, Mampang Prapatan, South Jakarta, with total area of 1,199.5 m? semi gross. Value of Transaction Total transaction value is amounted to IDR 17,632,650,000 (seventeen billion six hundred thirty-two million six hundred fifty thousand rupiah) before tax, with the details of area and lease cost as follows: Service 1 m2/month rg March 25" 26 until 1,199.5 IDR 170,000 IDR 75,000 | IDR203,915,000 | IDR89,962,500 | IDR293,877,500 March 24? 31 Total Cost (60 months) IDR17,632,650,000 Note : - Price does not include VAT Considering the Company's Financial Statements for the year ended December 31 2025, which have been audited by RSM Indonesia and signed by Public Accountant Saptoto Agustomo No. AP.0499, with an opinion of fairness in all material respects in accordance with Report No. 00055/2.1030/AU.1/07/0499-1/1/11/2026 dated February 6'" 2026, the Companys eguity is recorded at IDR 25,076,358,660,270 (twenty-five trillion seventy-six billion three hundred fifty-eight million six hundred sixty thousand two hundred seventy rupiah). Its latest amendment is recorded in the Deed of Amendment to the Articles of Association of PT Asuransi Umum Mega No. 42 dated 1 March 2024, drawn up before Dedy Syamri, S.H., a Notary in South Jakarta. NN BANKMEGA - Reason and Background of Transaction The consumer tends to choose and conduct an efficient business and financial transaction in an integrated area. Looking at this opportunity, being a commercial Bank who owns an office building with a large working space capacity, therefore, the Bank intend to lease the space to the affiliated companies who are in need of office space. Through this approach, it is expected that this transaction will bring economic benefits to the Bank office building. Having the same transactions with unaffiliated parties, it might not bring significant benefit compare for having transactions with the affiliated parties. The existence synergy and control toward service guality provided by the affiliated party will increase the business transaction and financial performance of both companies as expected. Based on a comparison of lease for office space in the surrounding area of Menara Bank Mega, Jakarta conducted by the Company, as well as the reports issued by KJPP Herman Meirizki & Rekan, namely Report No. 00275/2.0120-00/PI/07/0374/1/111/2026 dated March 13" 2026 regarding the Asset Valuation Report and Report No. 00008/2.0120-04/BS/07/0627/1/111/2026 dated March 16" 2026 regarding the Fairness Opinion of PT Bank Mega Tbk, the lease transaction for office space located on the 18!" floor of Menara Bank Mega, Jakarta, with a total area of 1,199.5 m2 (semi gross), is considered fair. The Company also confirms that all material information has been fully disclosed and is not misleading. This report is submitted in order to comply with the provisions of the Financial Services Authority Regulation No.42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest Transaction.
